Terms of Service — Carlane

1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of Carlane — the website at carlane.lt, the Carlane web application, and the Carlane Telegram bot (together, the "Service") — operated by SIA Juice Digital Agency, a company registered in Latvia ("Carlane", "we", "us").
By creating an account, connecting the Telegram bot, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity, you confirm you have the authority to bind that entity, and "you" refers to both you and that entity.
2. The Service
Carlane is a tool for tracking vehicles purchased for repair and resale — including purchase costs, repairs, parts, holding costs, and expected profit — accessible via a web dashboard and a Telegram bot with voice input.
The Service is currently offered during a beta period. Features, pricing, and availability may change, and we may add, modify, or remove functionality at any time. Billing is not currently enforced; if and when paid plans are introduced, we will give reasonable notice before charging you.
3. Accounts
You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity under your account, including actions taken by partners you invite to your organization.
You must be at least 18 years old to use the Service. By using the Service, you confirm that you meet this requirement.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or in a way that infringes the rights of others.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Upload data you do not have the right to upload, or that violates a third party's privacy or intellectual property rights.
- Use the Service to send spam, malware, or abusive content via the Telegram bot or otherwise.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
- Use automated means (bots, scrapers) to access the Service in a way that degrades it for other users.
We may suspend or terminate accounts that violate these Terms.
5. Your data and content
You retain ownership of the data you enter into Carlane (vehicle records, expenses, documents, photos, and similar content — "Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service for you.
You are responsible for the accuracy and legality of Your Content. We are not responsible for business decisions you make based on data or calculations shown in the Service.

6. Team and partner features
You may invite other people ("partners") to collaborate within your organization. As the organization owner, you are responsible for managing who has access and what permissions they hold. We are not responsible for disputes between you and your partners regarding ownership shares, data, or access within your organization — these are matters for you to resolve among yourselves.
7. Third-party services
The Service relies on third-party providers (including Telegram, OpenAI, Google, and others described in our Privacy Policy) to function. We are not responsible for outages, errors, or changes in those third-party services that affect the Service, though we will make reasonable efforts to maintain functionality.
8. Intellectual property
The Service, including its design, code, branding, and content (excluding Your Content), is owned by SIA Juice Digital Agency and protected by applicable intellectual property laws. You may not copy, modify, or create derivative works of the Service without our written permission.
9. Disclaimers
The Service is provided "as is" and "as available." During the beta period in particular, the Service may contain bugs, errors, or interruptions. We do not guarantee that the Service will be uninterrupted, error-free, or fit for any particular purpose.
Carlane is a record-keeping and informational tool. It does not provide financial, accounting, tax, or legal advice. Decisions about vehicle purchases, repairs, or sales remain your sole responsibility.
10. Limitation of liability
To the maximum extent permitted by law, SIA Juice Digital Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of (or inability to use) the Service.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or gross negligence.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, or if we discontinue the Service, with reasonable notice where practicable.
Upon termination, your right to use the Service ends, though some provisions of these Terms (such as limitation of liability and intellectual property) will continue to apply.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If changes are material, we will make reasonable efforts to notify you.
13. Governing law
These Terms are governed by the laws of Latvia, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Latvia, except where mandatory consumer protection law in your country of residence provides otherwise.
